This License Agreement is a legal contract between Benjamin Davidson, doing business as Defy Tracks (“Licensor,” “we,” or “us”) and you, the individual or entity purchasing a license (“Licensee” or “you”). By purchasing, downloading, or using any audio assets from Defy Tracks, you agree to these terms.

1. License Grant

We grant you a non-exclusive, non-transferable, perpetual, worldwide license to use the purchased audio assets in personal and commercial projects, subject to the terms below.

License Tiers:

• Standard License: For individual developers and small studios with annual gross revenue under $100,000 USD in the preceding 12 months.

• Professional License: For studios and commercial productions with annual gross revenue exceeding $100,000 USD in the preceding 12 months.

Both tiers provide identical files and usage rights. Your tier is determined by your studio’s revenue at the time of purchase.

2. Permitted Uses

You may use the audio assets to:

• Develop, sync, and distribute commercial or non-commercial video games and interactive media.

• Content Creation: Use the assets in trailers, promotional videos, and streamed content (e.g., YouTube, Twitch, TikTok).

• No Content ID: Our music is not registered with YouTube Content ID or any other automated copyright fingerprinting systems. You may monetize your videos and trailers using our audio without fear of copyright strikes or claims.

3. Restrictions

You may not:

• Resell, redistribute, or share the raw, standalone audio files (individually or as a collection).

• Repackage or rebrand the assets to sell as your own “sample pack,” “SFX library,” or “music kit.”

• AI Clause: Use the assets to train, develop, or improve any artificial intelligence (AI), machine learning model, or generative audio dataset.

• Sub-license or transfer your license to any third party.

4. Ownership

All audio assets, compositions, and recordings remain the sole intellectual property of Benjamin Davidson / Defy Tracks. This license grants usage rights only; it does not transfer copyright ownership.

5. Updates & Support

Where stated on the product page, free future updates are included. We provide an Asset Integrity Guarantee: if you encounter a corrupt file or a defective download link, contact [email protected] for an immediate fix or replacement.

6. Refunds

Due to the irrevocable nature of digital goods, all sales are final once a download has been initiated. Please review our full Refund Policy for details on defective assets.

7. Disclaimer

All audio assets are provided “as-is.” We make no warranties regarding fitness for a specific purpose beyond the descriptions provided on the product pages.
